1. Binding agreement

These Terms of Use (the “Terms”) are a legally binding agreement between you (“you”, “your”, “user”) and the operator of the public website at https://naanayam.online (the “Website”, “this Website”, “we”, “us”, “our”). The Website is presented under the name NAANAYAM. No company, partnership, trust, or other organisation is named on this Website at this time. References to “we” mean solely the operator of naanayam.online as a website, not a registered organisation.

By visiting naanayam.online, connecting a wallet, reading content, copying a contract address, pressing any button, submitting a transaction, or otherwise using any page of the Website (including https://naanayam.online/terms, /privacy, /risk, and /cookies), you confirm that you have read, understood, and agree to these Terms, the Privacy Policy, the Risk disclosure, and the Cookie notice, each of which is incorporated here. If you do not agree, do not use the Website.

You use the Website, Polygon networks, NAYAM, related smart contracts, and any buy, sell, stake, or send function solely at your own interest, for your own account, with your own wallet, and at your own risk. You — not the Website — bear every consequence of that use, including profit, loss, tax, error, and any claim by a third party.

2. What this Website is

naanayam.online is a public internet frontend. It displays information and, where contract addresses are configured, helps your browser ask your wallet to propose transactions to public smart contracts. It is not a bank, credit institution, payment institution, payment aggregator, payment gateway, prepaid-instrument issuer, e-money issuer, stored-value facility, UPI participant, card acquirer, money-changer, authorised dealer, broker, dealer, exchange, trading venue, clearing house, custodian, wallet provider, money transmitter, Virtual Asset Service Provider acting as a fiat on-ramp or off-ramp, investment adviser, commodity trading advisor, fund, issuer of a public offering, or fiduciary. Nothing on the Website creates a client, customer, account, or deposit relationship.

The Website does not take possession of your tokens, private keys, seed phrases, or passwords. It does not execute trades as your agent. It does not match a book of human orders. It does not hold a ledger of users. Any movement of NAYAM, USDC, POL, or any other crypto-asset happens on a public blockchain between addresses you control or choose, after you confirm in software we do not operate (your wallet).

3. Definitions

4. Interface only — you are the actor

The Website may show prices, quotes, balances, or button labels such as Buy, Sell, Stake, or Connect. Those are conveniences for composing a transaction you send. A quote can be stale, wrong, incomplete, or unavailable. Slippage, latency, network congestion, MEV, and your own inputs can change the result. You must review every field in your wallet before you approve.

You acknowledge that: (a) you initiate every transaction; (b) the Website cannot reverse a confirmed on-chain transaction; (c) we are not a party to any swap, transfer, stake, or lock you enter; (d) other people using the same contracts are not our customers; (e) publishing a frontend does not mean we control the contracts or the Network.

Access may be incomplete. Contract addresses may be zero, a practice network, or not yet published. A button may do nothing. The Desk may stay sealed until a stated instant, including a later pool or inventory release. That is not an offer, a listing, or a promise that a market exists.

5. How NAYAM is bought and sold

On Polygon mainnet, when the Desk is open, a Buy means: you already hold Native Polygon USDC in the Wallet you connect; you approve the market contract if needed; you sign a call that spends that USDC and receives NAYAM into the same Wallet. A Sell means the reverse: you spend NAYAM and receive Native Polygon USDC into the same Wallet. The Website never receives those tokens into an account we hold for you.

The Desk prices fills against the live Pool. Buys may draw NAYAM from desk inventory and push USDC into the Pool. Sells may send NAYAM through the Pool. You can also use the Console swap, or any other Uniswap or third-party interface, to trade the same pair. Those paths are still token-for-token on a public chain. They are not a sale of NAYAM by us for rupees or dollars.

Ethereum USDC, bridged USDC.e, USDT, other stablecoins, wrapped tokens, and tokens on other chains will not fill the Desk. If you send the wrong asset to a contract or address, it can be lost. We will not retrieve it.

Buy and Sell on the Desk were sealed until 1 September 2026, 00:00 IST. Connecting a Wallet before that hour did not open a trade and was not a booking, reservation, or prepaid purchase. The Desk may be sealed again until a later stated instant.

Staking, if offered, locks NAYAM in a staking contract that may pay more NAYAM under that contract’s rules. It is not a deposit, not interest from a bank, and not a guaranteed yield. Sending NAYAM or USDC from the Console is an ordinary on-chain transfer you sign. Vesting, if any, is a separate lock on a beneficiary address, not a right against the Website.

Practice or Amoy networks may use test NAYAM and test USDC with no value. A faucet, if shown, is not money and is not Native Polygon USDC on mainnet.

6. No legal tender, no payment rails

The Website does not sell NAYAM for legal tender. It does not buy NAYAM for legal tender. It does not collect, receive, hold, or pay rupees, dollars, or any other national currency. It does not offer, and you must not expect:

Native Polygon USDC is a crypto-asset on Polygon. It is not a rupee balance, not a dollar deposit at this Website, and not e-money we issue. We do not issue USDC. Circle Internet Financial and its affiliates (or any successor issuer of that token) are third parties. Their token, blacklist, redemption, and terms are theirs. A number labelled “USDC” on the Desk is a token balance in your Wallet, not a promise that anyone will pay you legal tender.

If you later convert Native Polygon USDC — or any other token — into legal tender, you do that with a bank, exchange, broker, peer, or other person that is not this Website. That conversion is a separate transaction. We are not a party to it. We do not process it, approve it, or receive a cut of it as a money-changer. You must satisfy that person’s terms, KYC, and every law that applies to turning crypto-assets into money. We do not check whether you have those documents. We do not warrant that such a conversion is lawful for you.

POL or other gas you spend is paid to the Network, not to naanayam.online as a fee in legal tender for using the frontend. The public pages are offered without a charge in rupees or dollars.

The absence of cards, UPI, and net banking does not mean that no law applies to NAYAM, USDC, staking, or your use of the Website. Token-for-token activity can still be taxed, restricted, or treated as a regulated instrument where you live. Section 12 remains your burden.

7. Eligibility and your representations

Each time you use the Website you represent and warrant that all of the following are true:

We do not verify these representations. We do not perform identity checks, PAN checks, or source-of-funds checks. The absence of a check is not permission, and it is not a representation that your activity is lawful. If a representation is false, you must stop using the Website at once. You remain liable for everything you did.

8. Your wallet, keys, and devices

You must use a Wallet you control. Official install links, when shown, are for the wallet you selected, on that wallet’s own domain. The Website never asks for a seed phrase, private key, or password. Do not type those into any page on naanayam.online.

You are solely responsible for: the security of your device, browser, extensions, and Wallet; approving the correct network and contract; gas; lost keys; a compromised machine; and any person who uses your Wallet. If you lose access to your Wallet, the Website cannot restore funds. Transactions you sign are treated as authorised by you.

9. Networks, gas, and finality

Polygon and other Networks are public. Blocks can reorganise. Software can fork. RPCs can fail, censor, or return bad data. Gas is paid by you to the Network, not to naanayam.online as a fee for using the frontend. Confirmed transactions are final for our purposes even if you made a mistake in amount, address, token, or network.

Practice or test networks may use tokens with no value. Mainnet tokens can also lose all value. The label on the Website does not make an asset valuable.

10. NAYAM — not a product of the Website as a store of value

NAYAM is a cryptographic token. It is not share capital, a partnership interest, a deposit, e-money, a payment instrument, a prepaid instrument, a commodity warehouse receipt, or a right to revenue of naanayam.online. Holding NAYAM does not make you a member, creditor, or owner of the Website. No one is obliged to buy NAYAM from you. No one is obliged to quote a price. Liquidity can be empty.

Nothing on the Website is an offer to sell, a solicitation to buy, or a prospectus in legal tender. A Buy or Sell button is a label for an on-chain call you may sign. If a law treats some tokens as securities, derivatives, virtual digital assets, or other regulated instruments, you alone must determine how that law applies to you and you must not use the Website to violate it. We make no representation that NAYAM or a NAYAM/USDC swap is suitable, registered, exempt, or permitted in any place.

Supply figures, names, history, and design on the marketing pages are descriptions of a token and a name. They are not a promise of profit, scarcity premium, or future listing.

11. No financial, legal, or tax advice

Content is for general information and interface operation. It is not advice. You will not treat any headline, number, or button as a recommendation. You should obtain your own professional advice if you need it. You file and pay your own taxes, including any tax on virtual digital assets or on a later conversion of USDC into legal tender. The Website does not withhold tax, issue Form 16, issue 26AS data, issue statements, or calculate your gains.

12. Laws that apply to you — your burden

You are solely responsible for complying with every law that applies to your access and to any transaction you sign, including but not limited to securities, commodities, virtual digital assets, tax (including Indian income-tax rules on VDAs if they apply to you), GST, consumer, sanctions, export, gambling, FEMA, payment-system, and financial-crime rules in every relevant country. The Website is not your compliance department. It does not monitor your transactions, collect identity documents, or approve your counterparties.

Token-for-token swaps on a public chain can still be reportable, taxable, or restricted even though this Website never takes rupees. You will not treat the lack of cards, UPI, or net banking as a licence, a ruling, or an exemption.

If you obtain USDC or POL from an exchange, broker, or peer, or if you later sell USDC or NAYAM for legal tender, that activity is yours. Those venues have their own licences, terms, and onboarding. You must complete whatever those venues require. We do not onboard you to them and we do not receive the money.

If a regulator, court, or exchange requires a record, you must produce it from your own Wallet and records. We may have no user file to give them because we do not open accounts.

You agree that any investigation, fine, freeze, or claim arising from your activity is yours to bear. You will not name naanayam.online, the Website, or its operators as responsible for your choice to buy, sell, stake, send, or hold NAYAM or USDC, or for any conversion of those tokens into money.

You will not:

We may block IP addresses, regions, or features at any time, for any reason or none, without notice or liability.

14. Intellectual property

The Website’s layout, text (other than public contract code), logo, and the presentation of the name NAANAYAM on naanayam.online are protected as the operator’s materials to the extent the law allows. Smart contracts on a public chain may be used as the chain permits. You receive a limited, revocable, non-exclusive, non-transferable licence to display the Website for your personal, lawful use of the interface. You may not use the logo or the name NAANAYAM to imply sponsorship of another project.

Tamil language and historical references on the Website are cultural context for a name. They are not a claim of government endorsement, and they are not a licence of any third-party heritage mark.

15. Third-party services

Wallets, RPC endpoints, fonts, hosting, block explorers, faucets, Uniswap Labs or Uniswap protocol contracts, the issuer of USDC, bridges, centralised exchanges, and networks are third parties. Their terms govern your use of them. We are not responsible for their outages, errors, fees, freezes, redemptions, or policy changes. Links are for convenience. A link is not an endorsement.

If a third party freezes, blacklists, or refuses to redeem USDC, or if an exchange refuses to convert USDC to legal tender, that is a dispute between you and that party. The Website has no duty to step in.

16. Disclaimer of warranties

THE WEBSITE, THE DESK, THE CONSOLE, ALL CONTENT, AND ALL RELATED SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE IS SECURE, UNINTERRUPTED, ACCURATE, FREE OF DEFECTS, OR FREE OF HARMFUL COMPONENTS, OR THAT NAYAM, USDC, ANY CONTRACT, OR ANY POOL WILL FUNCTION AS DESCRIBED, HOLD VALUE, REMAIN PEGGED, REMAIN TRANSFERABLE, OR REMAIN AVAILABLE.

You assume the entire cost of any servicing, repair, or correction you believe you need. Some places do not allow a full disclaimer. In those places the disclaimer applies to the maximum extent permitted, and any non-excludable warranty is limited to the minimum duration and remedy the law requires.

17. Limitation of liability — you bear the Loss

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, ITS OPERATORS, AUTHORS, HOSTS, MAINTAINERS, AND ANY PERSON WHO HELPS PUBLISH naanayam.online SHALL NOT BE LIABLE FOR ANY LOSS ARISING OUT OF OR RELATING TO THE WEBSITE, NAYAM, USDC, ANY SMART CONTRACT, ANY NETWORK, ANY WALLET, ANY QUOTE, ANY TRANSACTION YOU SIGN OR FAIL TO SIGN, ANY UNAVAILABLE FEATURE, ANY BUG, ANY UNAUTHORISED ACCESS TO YOUR DEVICE, ANY FAILURE OF A THIRD PARTY TO CONVERT TOKENS INTO LEGAL TENDER, OR ANY LEGAL OR REGULATORY ACTION CONCERNING YOU.

THIS EXCLUSION COVERS EVERY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTE, RESTITUTION, MISREPRESENTATION) AND APPLIES EVEN IF WE WERE TOLD THAT A LOSS WAS POSSIBLE.

IF, DESPITE THE ABOVE, A COURT FINDS LIABILITY THAT CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO naanayam.online SPECIFICALLY AS A FEE FOR ACCESS TO THE FRONTEND IN THE THREE MONTHS BEFORE THE CLAIM (WHICH IS ZERO IF YOU ONLY USED THE PUBLIC PAGES) AND (B) ONE HUNDRED US DOLLARS (US$100). THE EXISTENCE OF MORE THAN ONE CLAIM DOES NOT ENLARGE THIS CAP.

You agree that this allocation of risk is a core part of the bargain: the Website is a free public interface; you choose to transact with your own Wallet in crypto-assets only; therefore you, not naanayam.online, take the downside.

18. Indemnity and release

You will defend, indemnify, and hold harmless the Website and its operators, authors, hosts, and maintainers from and against every claim, demand, loss, cost, and expense (including reasonable legal fees) arising out of: your use of the Website, NAYAM, or USDC; your transactions; any conversion of tokens into legal tender; your violation of these Terms or of law; your tax; a dispute between you and any third party; or your Wallet. We may assume control of the defence at your expense. You will not settle a claim that admits fault by us without our prior written consent.

You release the Website and its operators from any and all claims connected with your use, to the fullest extent a release is allowed where you live, including unknown claims if a statute would otherwise preserve them (except where a release of unknown claims is not permitted).

19. Disputes, class waiver, time limit

You and we agree that any dispute is personal. You will not bring a class, collective, or representative action, or participate as a class member, to the extent such a waiver is permitted. If a waiver is not permitted, that part is severed and the rest remains.

These Terms do not create a place of business or a registered office. They are not an election of a corporate nationality. To the extent a governing law is required, these Terms are governed by the mandatory rules of the place where you are habitually resident solely for your consumer protections if you are a consumer, but those rules shall not expand our liability beyond Section 17 or impose duties of a regulated financial firm, payment institution, or money-changer on a public website. Otherwise, the Terms are interpreted under generally recognised principles of private contract for publicly offered software interfaces.

You must file any claim within one (1) year after the claim arose, unless a mandatory law sets a longer period that cannot be shortened. After that, the claim is permanently barred.

Nothing in these Terms limits liability that the law says cannot be limited, including liability for fraud if fraud is proven, or for death or personal injury caused by negligence where that cannot be excluded. Digital-asset loss is not personal injury.

20. Changes, suspension, and entire access

We may change the Website, the Desk, the Console, contract addresses, networks, copy, and these Terms at any time. The “Last updated” date will change. Continued use is acceptance. We may stop publishing naanayam.online without notice. Smart contracts may continue to exist on a Network without a website. That is not our continuing service to you.

21. General

If a provision is unenforceable, it is modified to the minimum extent needed, or severed. The rest stays in force. A failure to enforce is not a waiver. You may not assign these Terms. We may assign them to any successor operator of naanayam.online. These Terms, plus the Privacy Policy, Risk disclosure, and Cookie notice, are the entire agreement between you and the operator of naanayam.online concerning the Website. They supersede prior discussions. English is the controlling language. Notices to you may be posted on the Website. Notices to the Website may be given only as the Website later indicates; until then, publication on naanayam.online is how the operator speaks.

Headings are for reading convenience. Words like “including” mean “including without limitation”.
